How Does PIPE Work?

Specifically, there are two types of PIPE deals-the traditional and structured PIPE deal. In a traditional PIPE deal, a company will privately sell equity in a public common or preferred shares at a reduced rate close to the market price to an authorized investor.

While in a structured PIPE, the issuing company issues convertible debt. It can often convert to the issuing company’s stock at the purchaser’s will.

Generally, the offering company is trying to raise enough capital. Sometimes,  either because they need it urgently or because they could not acquire it through other means. The purchasing company (usually a mutual fund or hedge fund) is at the advantage of buying at a lowered price. This is because these directly sold shares are almost illiquid. The purchaser only has an interest if it can get the shares at a discount.
